These Terms of Service ("Terms") govern your access to and use of Syncronis platform and services ("Services") provided by Syncronis ("we", "us", or "our"). By accessing or using our Services, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using our Services, you agree to these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Services
Syncronis provides an IT orchestration platform for managing Linux machines and IoT device fleets. Our Services include:
- Multi-tenant control center for machine management
- Package deployment and configuration management
- Real-time monitoring and status reporting
- Role-based access control and team collaboration
- API access for automation and integration
3. Account Registration
Account Creation
To use our Services, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Account Security
You agree to:
- Use a strong, unique password for your account
- Enable multi-factor authentication when available
- Notify us immediately of any unauthorized access
- Not share your account credentials with others
4. Acceptable Use
You agree not to use the Services to:
- Violate any applicable laws or regulations
- Infringe intellectual property rights of others
- Transmit malware, viruses, or other harmful code
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Services
- Use the Services for cryptocurrency mining without authorization
- Engage in activities that could harm other users or third parties
5. Your Data
Ownership
You retain all rights to data you upload to or create using our Services ("Your Data"). We do not claim ownership of Your Data.
License to Us
You grant us a limited license to use Your Data solely to provide and improve the Services. This license includes the right to store, process, and transmit Your Data in accordance with your instructions and our Privacy Policy.
Data Backup
While we maintain backups for disaster recovery, you are responsible for maintaining your own backups of critical data. We are not liable for data loss.
6. Intellectual Property
Our Rights
The Services and all related technology, including software, designs, and documentation, are owned by Syncronis and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Services.
Feedback
If you provide feedback or suggestions about the Services, we may use them without obligation to you.
7. Payment Terms
Fees
Certain features of the Services require payment. Fees are described on our pricing page and may change with 30 days' notice.
Billing
- Subscriptions are billed in advance on a monthly or annual basis
- All fees are non-refundable except as required by law
- You are responsible for applicable taxes
Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
8. Service Level Agreement
For paid plans, we commit to the following service levels:
- Uptime: 99.9% availability (excluding scheduled maintenance)
- Support Response: Within 24 hours for standard issues, 4 hours for critical issues
- Data Durability: 99.999% for stored data

9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or completely secure.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNCRONIS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless Syncronis from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.
12. Termination
By You
You may terminate your account at any time by contacting support or using the account deletion feature in settings.
By Us
We may suspend or terminate your access if you violate these Terms, fail to pay fees, or if we reasonably believe your actions may harm other users or our systems.
Effect of Termination
Upon termination, your right to use the Services ends. We will delete your data within 30 days unless we are required to retain it for legal purposes.
13. Changes to Terms
We may modify these Terms from time to time. We will notify you of material changes by email or through the Services. Continued use after changes constitutes acceptance of the new Terms.
14. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes will be resolved in the courts of Delaware.
15. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and Syncronis regarding the Services.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver: Failure to enforce any right does not waive that right.
- Assignment: You may not assign these Terms without our consent.
